Terms of Service

Please read these Terms carefully before using the TurnReady platform.

Effective Date: July 9, 2026

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and TurnReady LLC, a Florida limited liability company ("TurnReady," "we," "us," or "our"), governing your access to and use of the TurnReady platform, including the Manager Portal, Field Team App, and all associated services (collectively, the "Service").

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Definitions

"Customer" means the cleaning business entity or individual that registers for and subscribes to the Service.
"Authorized User" means any individual — including employees, contractors, cleaners, inspectors, and linen staff — whom the Customer grants access to the Service.
"Customer Data" means all data, content, and information submitted to the Service by the Customer or its Authorized Users, including property profiles, access codes, photos, job records, and personnel information.
"Subscription" means the paid plan selected by the Customer governing access to the Service.
"Beta" means a pre-release version of the Service provided at no charge for evaluation and feedback purposes.

3. The Service

3.1 Service Description

TurnReady provides a cloud-based software platform designed for short-term rental (STR) cleaning businesses. The Service includes a web-based Manager Portal for business operations management and a mobile Progressive Web Application (PWA) for field staff. Features include job scheduling, property profiles, cleaning checklists, photo verification, team messaging, SMS-based property manager notifications, and completion reporting.

3.2 Beta Access

If TurnReady provides you access to the Service under a Beta agreement, such access is subject to the Beta Participation Agreement between the parties and these Terms. Beta access is provided at no charge, on an as-is basis, and may be discontinued at any time. TurnReady makes no warranties, representations, or commitments regarding features, data retention, or uptime during the Beta period.

3.3 Account Registration

You must provide accurate, current, and complete information when registering for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify TurnReady immediately at support@turnreadyapp.com of any unauthorized use of your account.

3.4 Authorized Users

You are responsible for all Authorized Users who access the Service under your account. You agree to ensure all Authorized Users comply with these Terms. You are liable for any breach of these Terms by your Authorized Users.

4. Subscriptions and Payment

4.1 Subscription Plans

TurnReady offers the following subscription plans, billed monthly:

Starter Plan: $99/month — up to 3 field staff users, up to 20 active properties.
Team Plan: $179/month — up to 10 field staff users, unlimited active properties.
Agency Plan: $299/month — unlimited field staff users, unlimited properties, white-label reports, priority support.

TurnReady reserves the right to modify pricing with 30 days written notice to active subscribers.

4.2 Billing and Payment

Subscriptions are billed monthly in advance. Payment is processed via Stripe. By providing payment information, you authorize TurnReady to charge the applicable fees to your payment method on each billing date. All fees are in U.S. dollars and are non-refundable except as expressly stated in these Terms.

4.3 Failed Payments

If a payment fails, TurnReady will attempt to notify you and retry the charge. If payment remains outstanding for more than 7 days, TurnReady may suspend your access to the Service. Access will be restored upon payment of all outstanding amounts.

4.4 Cancellation

You may cancel your subscription at any time by contacting support@turnreadyapp.com or through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service through the end of the paid period. TurnReady does not provide refunds for partial months.

4.5 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service.

5. Customer Data

5.1 Ownership

You retain all ownership rights to your Customer Data. TurnReady does not claim any ownership interest in Customer Data. By submitting Customer Data to the Service, you grant TurnReady a limited, non-exclusive, worldwide license to process, store, and transmit Customer Data solely as necessary to provide the Service.

5.2 Responsibility for Customer Data

You are solely responsible for the accuracy, legality, and appropriateness of all Customer Data. You represent and warrant that you have all rights, consents, and permissions necessary to submit Customer Data to the Service and to grant TurnReady the license described above.

5.3 Security of Sensitive Data

TurnReady implements industry-standard security measures to protect Customer Data, including property access codes and personal information stored within the Service. However, no system is completely secure. You acknowledge that you are responsible for implementing appropriate access controls within your account and for notifying your property manager clients that their property information is stored within the TurnReady platform.

5.4 Data Retention Upon Termination

Upon termination or expiration of your subscription, TurnReady will retain your Customer Data for 30 days during which you may request an export. After 30 days, TurnReady will delete your Customer Data in accordance with its data deletion procedures. TurnReady is not responsible for any loss of data resulting from termination of your account.

6. Acceptable Use

6.1 Permitted Use

The Service is licensed for use by STR cleaning businesses for their internal operations management. You may use the Service to manage your cleaning staff, property assignments, job scheduling, and client reporting.

6.2 Prohibited Uses

You agree not to:

Resell, sublicense, or otherwise make the Service available to third parties without TurnReady's written consent.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
Use the Service to store or transmit malicious code, viruses, or any harmful material.
Use the Service in any manner that violates applicable law, including privacy laws and telecommunications regulations.
Use the Service to send unsolicited commercial messages or communications not permitted by applicable law.
Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
Attempt to gain unauthorized access to the Service or related systems.
Use the Service to process data in a way that violates the privacy rights of any individual, including Authorized Users or property owner clients.

7. Intellectual Property

7.1 TurnReady IP

TurnReady retains all right, title, and interest in and to the Service, including all software, technology, trademarks, trade names, logos, and all improvements, modifications, and derivative works thereof. Nothing in these Terms transfers any ownership rights in TurnReady's intellectual property to you.

7.2 License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, TurnReady grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during the subscription term solely for your internal business operations.

7.3 Feedback

If you provide TurnReady with any suggestions, ideas, or feedback regarding the Service, you grant TurnReady an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such feedback into the Service without any obligation to you.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that: (a) is or becomes publicly known through no breach of this agreement; (b) was rightfully known before receipt from the disclosing party; (c) is independently developed without use of confidential information; or (d) is required to be disclosed by law or court order.

9. Representations and Warranties

9.1 Customer Warranties

You represent and warrant that: (a) you have the authority to enter into these Terms; (b) your use of the Service will comply with all applicable laws and regulations; (c) you have obtained all necessary consents from your Authorized Users to process their personal information through the Service; and (d) you have informed your property manager clients that their property information is stored within the TurnReady platform.

9.2 TurnReady Warranties

TurnReady warrants that it will use commercially reasonable efforts to provide the Service in a professional manner consistent with industry standards. TurnReady does not warrant that the Service will be uninterrupted, error-free, or completely secure.

9.3 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TURNREADY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

TURNREADY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF TURNREADY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TURNREADY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO TURNREADY IN THE 30 DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if the limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, TurnReady's liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless TurnReady and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third-party rights.

12. Term and Termination

12.1 Term

These Terms commence on the date you first accept them and continue until your subscription is terminated or expires.

12.2 Termination for Cause

Either party may terminate these Terms immediately upon written notice if the other party: (a) materially breaches these Terms and fails to cure such breach within 15 days after receiving written notice; or (b) becomes insolvent, makes a general assignment for the benefit of creditors, or has a receiver appointed.

12.3 Effect of Termination

Upon termination: (a) your license to use the Service immediately terminates; (b) you must cease all use of the Service; (c) TurnReady will retain your Customer Data for 30 days as described in Section 5.4; and (d) provisions that by their nature should survive termination will survive, including Sections 7, 8, 9.3, 10, 11, and 14.

13. SMS and Text Messaging

As part of the Service, TurnReady sends operational SMS (text message) notifications on behalf of Customers to their field staff and property manager contacts. These messages include job assignments, schedule changes, cancellations, and property issue alerts. TurnReady does not send marketing or promotional text messages.

By providing a mobile phone number — whether your own or, if you are a Customer, a number belonging to a field staff member or property manager contact you add to the Service — you represent and warrant that you have obtained all consents required by applicable law from that individual to receive text messages from TurnReady related to the Service.

Message frequency varies based on job schedules and operational events. Message and data rates may apply. Recipients may opt out of text messages at any time by replying STOP, and may request help by replying HELP.

TurnReady does not use recipients' phone numbers or SMS opt-in information for marketing purposes and does not share or sell that information to third parties or affiliates, except as necessary to deliver the messages through our messaging provider (Twilio). See our Privacy Policy for more detail.

14. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Okaloosa County, Florida.

13.2 Dispute Resolution

Before initiating any legal action, the parties agree to attempt in good faith to resolve any dispute through informal negotiation for at least 30 days following written notice of the dispute. If the dispute is not resolved through negotiation, either party may pursue available legal remedies.

13.3 Entire Agreement

These Terms, together with the Privacy Policy and any Beta Participation Agreement or order form, constitute the entire agreement between you and TurnReady regarding the Service and supersede all prior agreements, representations, and understandings.

13.4 Modifications

TurnReady may modify these Terms at any time by posting updated Terms on the Service and providing you with reasonable notice. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

13.5 Waiver and Severability

TurnReady's failure to enforce any provision of these Terms does not constitute a waiver of its right to do so in the future. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.6 Assignment

You may not assign or transfer these Terms or any rights hereunder without TurnReady's prior written consent. TurnReady may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets. These Terms bind and inure to the benefit of the parties and their respective permitted successors and assigns.

13.7 Force Majeure

Neither party will be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including acts of God, natural disasters, government actions, telecommunications failures, or cyberattacks.
